¿Puede una persona extranjera no residente ser administrador único de una sociedad española?
Sí, y de hecho es una práctica plenamente admitida.
La Ley de Sociedades de Capital (LSC) no impone que el administrador sea residente en España ni exige nacionalidad española. Lo relevante es que la sociedad esté válidamente constituida conforme al derecho mercantil español y que su administrador cumpla con los requisitos formales, entre ellos, disponer de un Número de Identificación de Extranjero (NIE) y aceptar su cargo mediante escritura pública.
Por tanto, una persona física extranjera, aunque viva fuera de España, puede ejercer sin problema el cargo de administrador único de una sociedad española.
Análisis jurídico de la consulta vinculante V0787-25 de la DGT
La consulta V0787-25 aborda un caso muy representativo: una sociedad limitada constituida según la normativa española, con domicilio social en España y administrador único extranjero no residente.
La cuestión que se plantea es si, en tal caso, la empresa está obligada a designar un representante legal residente en España para relacionarse con la Administración Tributaria.

Representación legal según la Ley General Tributaria
La Ley General Tributaria (LGT) establece que las personas jurídicas actúan ante la Administración a través de quienes ostentan la titularidad de sus órganos de administración.
En una sociedad limitada con administrador único, esa representación recae necesariamente sobre esa persona, que ostenta el poder de representación de manera directa y exclusiva.
Por tanto, aunque el administrador viva en otro país, la sociedad se representa legalmente a través de él, sin necesidad de designar a otra persona, salvo que la normativa fiscal lo exija de forma expresa.

La obligación de designar representante según el artículo 47 LGT
El artículo 47 de la LGT obliga a designar un representante con domicilio en España en algunos casos concretos, pero solo para obligados tributarios no residentes.
Esta obligación se aplica, por ejemplo:
- Cuando se opera en España mediante un establecimiento permanente.
- Cuando una norma tributaria específica lo exige expresamente.
- O cuando la Administración lo considera necesario para garantizar la comunicación con el contribuyente.
La finalidad de esta norma es facilitar la interlocución con la Agencia Tributaria en supuestos en que el obligado no tiene presencia efectiva en España.

El análisis de la DGT parte del artículo 8 de la Ley del Impuesto sobre Sociedades, que determina cuándo una entidad se considera residente en territorio español.
Una sociedad será residente si cumple al menos uno de los siguientes requisitos:
- Se ha constituido conforme a las leyes españolas.
- Tiene su domicilio social en España.
- Su sede de dirección efectiva se encuentra en España.
En el caso analizado, la empresa cumple dos de los tres criterios: se constituyó bajo legislación española y tiene su domicilio social en España.
Por tanto, es una sociedad residente en España a efectos fiscales, aunque su administrador viva en el extranjero.

Conclusión de la DGT: no es necesario designar un representante adicional
La DGT concluye que, al ser una sociedad residente en España, no está sujeta a la obligación del artículo 47 de la LGT, que solo aplica a los no residentes.
En consecuencia, la representación legal y tributaria recae directamente en el administrador único, aunque éste sea una persona física extranjera y resida fuera del país.
Esto significa que no es necesario nombrar un representante fiscal adicional con domicilio en España.
Implicaciones prácticas para sociedades con administrador extranjero no residente
El criterio fijado por la DGT simplifica considerablemente la gestión de las sociedades con capital o dirección extranjera.
En la práctica, implica que:
- No se requiere representante fiscal en España, salvo requerimiento expreso de la Administración.
- El administrador único extranjero puede firmar y presentar declaraciones tributarias en nombre de la sociedad.
- La empresa debe cumplir con todas las obligaciones fiscales y contables propias de una sociedad residente: IVA, Impuesto sobre Sociedades, retenciones, cuentas anuales, etc.
- Es fundamental mantener una dirección electrónica habilitada (DEHú) para recibir notificaciones oficiales.
- Resulta recomendable contar con un asesor fiscal y contable en España, que actúe ante la Administración.
La importancia del asesoramiento especializado
A pesar de que la normativa no exige un representante residente, la gestión de una empresa con administrador no residente requiere coordinación y conocimiento técnico.
La falta de atención a las notificaciones electrónicas o el incumplimiento de plazos fiscales pueden generar sanciones significativas.
