De acuerdo con la legislación mercantil, para que una operación de fusión de sociedades despliegue sus plenos efectos deben cumplirse una serie de requisitos.
En primer lugar, es recomendable realizar un estudio económico y financiero de las sociedades implicadas con el objeto de verificar si la operación es viable.
Entre otros aspectos, se tendrá en cuenta el valor de las empresas que intervienen, así como los títulos que participan en la fusión.
Seguidamente, los administradores de cada una de las sociedades en cuestión deben elaborar un proyecto común de fusión en el que consten una serie de datos de las empresas que participan.

Una vez redactado el informe de los administradores, un experto independiente nombrado por el registrador mercantil deberá dar su visto bueno a la operación de fusión. No siempre es necesario este nombramiento.
Finalmente, el proyecto de fusión deberá ser aprobado por la junta de socios para posteriormente formalizarse en escritura pública ante Notario e inscripción en el Registro Mercantil correspondiente.
A continuación deberá procederse a la publicación en el Boletín Oficial del Registro Mercantil y en uno de los diarios de gran circulación en las provincias en las que cada una de las sociedades tenga el domicilio.
