To set up a Limited Company, the following steps must be followed:
- Previous consultation: during this phase, you must choose the type of company you wish to create, indicate how many social participants there will be and define the corporate purpose of the company.
- Registration of the company name: to do this, it is necessary to obtain a negative certification of the social denomination from the Central Commercial Registry, which certifies that the name chosen for your company is not used by any other.
- Preparation of documents: you must draft the social statutes, shareholder agreements and the constitution deed, among other documents.
- Signing of the constitution deed before a notary: our team will prepare, supervise and coordinate the entire operation and accompany you during the notarial signature.
- Payment of the Property Transfer Tax (ITP) and Documented Legal Acts (AJD) to the Tax Office of the corresponding Autonomous Community.
- Registration in the Commercial Registry of the province where the registered office of the company is established.
- Procedures with the Tax Office: you must make the census declaration and register your company for the Economic Activities Tax (IAE).
